End User License Agreement

This End User License Agreement (“Agreement”) governs your access to and use of /CHARCOAL (the “Service”), a private application provided by Klaber Design Architecture PLLC (“K—DA”). By accessing or using the Service, you agree to this Agreement. If you do not agree, do not use the Service.
1. License
K—DA grants authorized users a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for K—DA’s internal business purposes. The Service is intended only for K—DA personnel and other individuals K—DA expressly authorizes.
2. Acceptable use
You agree not to:
- access the Service without authorization;
- use the Service for any unlawful purpose;
- attempt to disrupt, reverse engineer, or gain unauthorized access to the Service or its data; or
- share your credentials or access with unauthorized persons.
3. Ownership
The Service — including its software, design, and content — and all firm and business data within it are owned by K—DA and its licensors. This Agreement grants no ownership rights in the Service.
4. Third-party integrations
The Service may integrate with third-party services such as Google and Intuit (QuickBooks Online). Your use of those integrations is also subject to the applicable third party’s terms and policies. How the Service handles data from these services is described in our Privacy Policy.
5. Disclaimer of warranties
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. K—DA does not warrant that the Service will be uninterrupted, error-free, or secure.
6. Limitation of liability
To the fullest extent permitted by law, K—DA will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising from or related to your use of the Service.
7. Termination
K—DA may suspend or terminate access to the Service at any time, with or without cause. Upon termination, your right to use the Service ceases.
8. Governing law
This Agreement is governed by the laws of the State of New York, without regard to its conflict-of-laws rules.
9. Changes
K—DA may update this Agreement from time to time; continued use of the Service after changes take effect constitutes acceptance. Material changes will be reflected by the “Last updated” date above.
